The AI Concierge (TAC), operated by All Out FZC LLC, a company registered in Sharjah Publishing City Free Zone, United Arab Emirates.

These Terms of Use ("Terms") govern your access to and use of TAC, including our website, applications, APIs, integrations, and services (collectively, the "Service").

By accessing or using TAC, you agree to these Terms. If you do not agree, you must not use the Service.

1. Definitions

  • "TAC" / "Service" refers to The AI Concierge platform and all related services

  • "Customer" / "You" refers to any business, entity, or individual using TAC

  • "End Users" refers to guests or third parties interacting with TAC

  • "Company" / "We" / "Us" refers to All Out FZC LLC

2. Eligibility and Authority

You must be legally capable of entering into a binding agreement.

If you are using TAC on behalf of a business, you represent and warrant that you have the authority to bind that business to these Terms.

3. Use of the Service

You agree to use TAC only for lawful purposes and in compliance with applicable laws, including data protection and electronic communications regulations.

You must not:

  • Use the Service for unlawful, fraudulent, or misleading activities

  • Transmit harmful, abusive, or deceptive content

  • Interfere with or disrupt the integrity or performance of the Service

  • Attempt unauthorized access to systems or data

We may suspend or terminate access for violations.

4. Service Description

TAC is an AI-powered platform designed to automate and support guest communication and operational workflows for hospitality businesses.

The Service may include:

  • Messaging automation across channels such as WhatsApp, SMS, and email

  • AI-generated responses and workflows

  • Task execution and vendor coordination

  • Integration with third-party systems

TAC is a tool to assist operations. The Customer retains full responsibility for business decisions, guest interactions, and compliance obligations.

5. Customer Responsibilities

You are responsible for:

  • Ensuring accuracy of data provided to TAC

  • Reviewing and supervising AI-generated outputs where necessary

  • Ensuring compliance with applicable laws when communicating with End Users

  • Obtaining all required consents from End Users

You acknowledge that TAC does not act as a legal, operational, or compliance advisor.

6. AI and Automation

TAC uses artificial intelligence to generate responses and execute workflows.

You acknowledge that:

  • Outputs may not always be accurate, complete, or suitable

  • AI responses may require human review

  • TAC does not guarantee performance, outcomes, or error-free operation

Use of AI-generated outputs is at your own risk.

7. Data Ownership and Usage

You retain ownership of all data you provide.

By using TAC, you grant us a limited right to process, store, and use data solely to provide and improve the Service.

You represent that you have all necessary rights and permissions to share End User data with TAC.

8. Third-Party Services

TAC integrates with third-party platforms such as messaging providers, payment gateways, and property management systems.

We are not responsible for:

  • Availability or performance of third-party services

  • Any data handling practices of third parties

  • Interruptions caused by external platforms

Your use of third-party services is governed by their terms.

9. Fees and Billing

Use of TAC is subject to fees based on agreed pricing plans.

  • Fees are billed in advance unless otherwise agreed

  • All payments are non-refundable unless explicitly stated

  • You are responsible for applicable taxes, including VAT

We reserve the right to update pricing with prior notice.

10. Intellectual Property

All intellectual property rights in TAC remain the property of All Out FZC LLC.

You are granted a limited, non-exclusive, non-transferable license to use the Service for your business operations.

You may not:

  • Copy, modify, or distribute the Service

  • Reverse engineer or attempt to extract source code

11. Confidentiality

Both parties agree to protect confidential information exchanged during the use of the Service.

Confidential information shall not be disclosed to third parties without prior consent, except as required by law.

12. Service Availability

We aim to maintain high availability but do not guarantee uninterrupted or error-free Service.

We may modify, suspend, or discontinue features at any time.

13. Limitation of Liability

To the maximum extent permitted by law, All Out FZC LLC shall not be liable for:

  • Indirect, incidental, or consequential damages

  • Loss of revenue, business, or data

  • Errors or inaccuracies in AI-generated outputs

Total liability shall not exceed the amount paid by you in the preceding 12 months.

14. Indemnification

You agree to indemnify and hold harmless All Out FZC LLC from any claims arising from:

  • Your use of the Service

  • Your violation of these Terms

  • Your handling of End User data or communications

15. Term and Termination

We may suspend or terminate access if you breach these Terms.

You may terminate your use at any time.

Upon termination:

  • Access to the Service will cease

  • Data may be deleted in accordance with our policies

16. Force Majeure

We are not liable for delays or failures caused by events beyond our control, including outages, natural disasters, or regulatory actions.

17. Changes to Terms

We may update these Terms from time to time.

Continued use of the Service constitutes acceptance of updated Terms.

18. Governing Law

These Terms are governed by the laws of the United Arab Emirates.
